1. Definitions

• "Service" refers to the RetailEase POS system, including all software, features, and related services provided through our platform.
• "User," "You," or "Your" refers to any individual or business entity that creates an account and uses our Service.
• "We," "Us," or "Our" refers to RetailEase POS and its operators.
• "Account" refers to the registered user account created to access our Service.
• "Content" refers to any data, information, text, images, or other materials uploaded or stored in the Service.
• "Subscription" refers to the paid plan selected by the User to access premium features.

2. Acceptance of Terms

By accessing or using RetailEase POS, you represent that:

• You are at least 18 years of age or have reached the age of majority in your jurisdiction
• You have the legal authority to enter into these Terms on behalf of your business (if applicable)
• You will comply with all applicable local, national, and international laws and regulations
• All information you provide is accurate, current, and complete
• You will maintain the security of your account credentials

3. Account Registration

3.1 Creating an Account

To use RetailEase POS, you must create an account by providing:

• Valid business name and contact information
• Email address and phone number
• Secure password meeting our security requirements
• Business registration details (if applicable)

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information remains accurate and up-to-date

3.3 Account Restrictions

You may not:

• Share your account with others or allow multiple users on a single account (unless permitted by your subscription plan)
• Create multiple accounts for the same business without authorization
• Use another user's account without permission
• Sell, transfer, or assign your account to others

4. Subscription Plans and Payments

4.1 Plan Types

RetailEase POS offers various subscription plans:

• Free Trial: Limited-time access to test our features
• Basic Plan: Essential features for small businesses
• Standard Plan: Advanced features for growing businesses
• Premium Plan: Full features for established businesses

4.2 Pricing and Billing

• Subscription fees are charged in Pakistani Rupees (PKR)
• All prices are displayed on our website at retaileasepos.com
• Payment is processed through secure third-party payment gateways
• Billing cycles are monthly or annually, as selected by you
• Invoices are generated automatically and sent to your registered email

4.3 Payment Terms

• Payment is due immediately upon subscription or renewal
• Failed payments may result in service suspension
• You authorize automatic renewal and recurring billing
• All fees are non-refundable except as expressly stated in our Refund Policy

4.4 Price Changes

We reserve the right to modify subscription prices with 30 days' advance notice. Existing subscriptions will continue at the current price until the next renewal period.

5. Free Trial

• New users may be eligible for a free trial period (typically 7-14 days)
• Trial access includes limited features as specified on our website
• Credit card information may be required but will not be charged during the trial
• The trial automatically converts to a paid subscription unless canceled before expiration
• Only one trial per business is permitted
• We reserve the right to deny trial access at our discretion

6. Service Usage and Restrictions

6.1 Permitted Use

You may use RetailEase POS for:

• Managing your legitimate retail or business operations
• Processing sales transactions
• Tracking inventory and products
• Generating business reports and analytics
• Managing customer information

6.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble our software
• Remove or modify any proprietary notices or labels
• Use the Service to transmit spam or unsolicited messages
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or extract data using automated means
• Resell or redistribute the Service without authorization
• Process fraudulent transactions or engage in money laundering

7. Your Content and Data

7.1 Ownership

You retain all ownership rights to the content and data you upload to RetailEase POS, including:

• Product information and images
• Customer data
• Sales transactions
• Business reports

7.2 License to Us

By using our Service, you grant us a limited, non-exclusive license to:

• Store and process your data to provide the Service
• Create backups for data security purposes
• Use anonymized, aggregated data for analytics and service improvement

7.3 Data Responsibility

You are solely responsible for:

• The accuracy and legality of your content
• Maintaining your own backups of critical data
• Compliance with data protection laws regarding customer information
• Ensuring you have the right to use any uploaded content (images, text, etc.)

7.4 Data Export

You can export your data at any time in standard formats (CSV, Excel, PDF). Upon account termination, you have 30 days to export your data before permanent deletion.

8. Service Availability and Support

8.1 Uptime and Availability

• We strive for 99.5% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions due to circumstances beyond our control

8.2 Customer Support

• Support hours: Monday-Saturday, 9 AM - 6 PM PKT
• Response time: Within 24-48 hours for most inquiries
• Priority support may be available for premium plan subscribers

8.3 Updates and Modifications

We may update, modify, or discontinue features of the Service at any time. We will provide reasonable notice for significant changes that affect your usage.

9. Intellectual Property Rights

9.1 Our Rights

RetailEase POS and all related intellectual property, including:

• Software code and architecture
• Trademarks, logos, and branding
• Design, layout, and user interface
• Documentation and help materials

are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without written permission.

9.2 Feedback

If you provide feedback, suggestions, or ideas about our Service, we may use them without any obligation to compensate you.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

10.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activities
• Abuse or misuse the Service
• Provide false information

10.3 Effects of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• All licenses granted to you will terminate
• You have 30 days to export your data
• After 30 days, all your data will be permanently deleted
• Outstanding fees remain due and payable

11. Disclaimers and Limitations of Liability

RetailEase POS is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of data
• Uninterrupted or error-free operation

11.2 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or content
• Any damages exceeding the amount you paid us in the 12 months prior to the claim

12. Indemnification

You agree to indemnify, defend, and hold harmless RetailEase POS, its owners, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data
• Your business operations conducted using our Service

13. Third-Party Services

Our Service may integrate with or link to third-party services (e.g., payment gateways, email services). We are not responsible for:

• The availability or functionality of third-party services
• Third-party terms, policies, or practices
• Any damages or losses resulting from third-party services

Your use of third-party services is subject to their respective terms and conditions.

14. Privacy and Data Protection

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our data practices as described in the Privacy Policy.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles.

15.2 Dispute Resolution

In the event of any dispute arising from these Terms:

• Both parties agree to first attempt resolution through good-faith negotiations
• If negotiations fail, disputes will be resolved through arbitration in Multan, Pakistan
• The arbitration will be conducted in accordance with Pakistani arbitration laws
• The decision of the arbitrator shall be final and binding

15.3 Jurisdiction

The courts of Multan, Pakistan shall have exclusive jurisdiction over any legal proceedings related to these Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RetailEase POS regarding the Service.

16.2 Modifications

We may update these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

16.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.

16.6 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, internet disruptions, or other force majeure events.

16.7 No Partnership

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and RetailEase POS.

17. Compliance with Laws

You agree to comply with all applicable laws and regulations, including but not limited to:

• Pakistani tax laws and regulations
• Data protection and privacy laws
• Consumer protection laws
• Import/export regulations (if applicable)
• Labor laws
• Industry-specific regulations

18. Acknowledgment

By using RetailEase POS, you acknowledge that:

• You have read and understood these Terms
• You agree to be bound by these Terms
• You have the authority to enter into this agreement
• You will comply with all provisions outlined herein
